IMPORTANT — PLEASE READ CAREFULLY. THIS AGREEMENT CONTAINS AN ARBITRATION PROVISION (SECTION 15) REQUIRING ALL CLAIMS TO BE RESOLVED BY WAY OF BINDING ARBITRATION. BY OPENING OR USING YOUR ACCOUNT, YOU AGREE TO THESE TERMS.

This Hollis & Co Demand Deposit Account Agreement (the "Agreement") contains the terms and conditions governing the USD demand deposit account (the "Account") made available to you in connection with your Hollis & Co business account and provided by Column National Association ("Bank", "we", "our", "us"). Column N.A. is a nationally chartered depository financial institution and a member of the Federal Deposit Insurance Corporation ("FDIC").

"Account Owner" refers to the legal owner of the Account. "You" and "your" means the Account Owner, any authorized signer, and any other person authorized to operate your Account. Hollis & Co., Inc. ("Servicer") is a service provider that performs certain services related to your Account on behalf of the Bank. When we say "Bank may" do something, that means you authorize us and agree to such action. Bank may refuse to process any transaction it believes may violate the terms of this Agreement or Applicable Law.

Your deposits with Column N.A. are insured by the FDIC up to the maximum limits allowed by law ($250,000 per depositor, per insured bank, per ownership category). For more information, visit fdic.gov or call 1-877-ASK-FDIC (1-800-925-4618 for the hearing impaired).

By agreeing to these terms, you acknowledge Column N.A.'s Privacy Notice, available at Column N.A. Privacy Notice, and Hollis & Co's Privacy Policy.

Bank and Servicer may monitor and/or record telephone calls between you and Bank or Servicer for quality assurance, compliance, and training purposes.

    Account Ownership and Use

    a. Purpose

Your Account is offered for the purposes of conducting deposit, withdrawal, and other banking and financial transactions in connection with your legitimate business operations. You are liable to us for all debit balances in the Account, including overdrafts, and for all costs we incur in collection, including reasonable attorneys' fees.

    b. Ownership

Your Account is owned and titled in the name of one legal entity, which retains all rights and obligations under this Agreement. Bank shall not be required to recognize any third-party claim to funds in the Account without a court order.

    c. Use

Your use of the Account is subject to all applicable rules and customs of any clearinghouse or other association involved in any transaction. Bank may modify or waive any provision of this Agreement as required by Applicable Law and with notice to you where required.

    d. Multiple Accounts

Hollis & Co may offer you the ability to open multiple Accounts for a single Account Owner and Company EIN. If you breach or default on your obligations under this Agreement or any other agreement with Bank, Bank may exercise its rights across all accounts you hold.

    Security Procedures

    a. General

You may only access your Account through the Hollis & Co platform and subject to the Security Procedures.

    b. Login Credentials

You are solely responsible for safeguarding your Login Credentials. You agree to keep them confidential and to immediately notify us if you know or suspect that any unauthorized person has obtained access. Bank may act on all Eligible Instructions submitted using your Login Credentials or those of any Authorized User, regardless of whether you actually authorized that instruction.

You may request and assign Login Credentials to Authorized Users through the platform. You are responsible for all actions taken by your Authorized Users and must safeguard their credentials accordingly.

    Section 5

    Rate and Fee Schedule

You authorize Bank to debit any fees, charges, or costs owed to Bank from your Account, even if the debit results in an overdraft. Applicable fees are set forth in the rate and fee schedule disclosed on the Hollis & Co platform and at rate and fee schedule.

    Section 6

    Deposits

    a. Deposit Methods

You may deposit funds by initiating an electronic funds transfer from another bank account. If enabled by Bank for your Account, you may also deposit funds by Mobile Check Deposit, subject to Exhibit 1.

    b. Cash, ATM, and Foreign Currency

You may not deposit cash, ATM deposits, or deposits denominated in a currency other than USD.

    c. Right to Refuse Deposits

Bank may refuse a deposit, or part of a deposit, at any time and for any reason, including after provisionally accepting it.

    d. Deposit Discrepancies

If there is a discrepancy between the amount credited and the amount of your deposit, we will notify you promptly.

    Section 7

    ACH Transactions

The Automated Clearing House ("ACH") is an electronic funds transfer system governed by the rules of the National Automated Clearing House Association ("NACHA"). By using ACH services:

    • Bank may accept ACH payments payable to you in accordance with NACHA Rules.
    • Any credit to your Account for ACH funds is provisional until Bank receives final settlement from the originator's financial institution.
    • Bank is not required to give you a separate notice of ACH receipt. Review your account statements or transaction history in the platform to confirm receipt.

If enabled for your Account, ACH origination is subject to the ACH Origination Addendum (Exhibit 2).

    Section 8

    Withdrawals

    a. Manner of Withdrawal

You may make withdrawals in any manner permitted by Bank for the type of Account you hold.

    b. Withdrawal Restrictions and Overdrafts

Bank may refuse or restrict withdrawals and transfers from your Account in its sole discretion. If there are insufficient funds, Bank may return the item unpaid or pay it and create an overdraft. You agree to promptly cover any overdraft. Bank may close your Account if you fail to remedy an overdraft.

    c. Check Withdrawals

You may request preauthorized checks to third parties through the platform. Checks deemed undeliverable will be returned to your postal address on file.

    d. Stop Payment Orders

A stop payment request must be received with reasonable notice — not less than one Business Day prior to payment. You must provide sufficient identifying information (payee, date, exact amount). Bank is not responsible for failing to stop payment if the information provided is incorrect or incomplete.

    e. Stale Checks

Bank reserves the right to pay or dishonor a check more than ninety (90) days old without prior notice to you.

    Section 9

    Funds Availability

    a. Transaction Posting Order

Bank reserves the right to decide the order in which items are paid and which items are returned unpaid. Deposits and credits received before the close of each Business Day will be posted before any debits or withdrawals for that day. Debits and withdrawals are posted in date/time order.

    b. Availability Schedule

    • Electronic payment deposits received before 5:00 PM Pacific Time on a Business Day are generally processed the same Business Day and made available the next Business Day.
    • All other permissible deposit methods (excluding Mobile Check Deposit) are made available within two (2) Business Days.
    • Mobile Check Deposit availability is described in Exhibit 1.

Bank reserves the right, subject to Applicable Law, to hold funds pending settlement or for such period as it deems appropriate.

    c. New Account Rules

Accounts open less than thirty (30) days may be limited in functionality. Funds credited to your Account may be subject to holds and may not be available immediately.

    Section 10

    Funds Transfers

    a. Initiating Transfers

You may only initiate funds transfers by submitting an Eligible Instruction through the Hollis & Co platform. Bank may screen and reject any funds transfer request in good faith, including because Bank believes the transaction may pose a risk of fraud, money laundering, terrorist financing, or other financial crime, or because it may violate Applicable Law.

    b. Transaction Limits

Bank may impose and adjust transaction limits on your Account in its sole discretion, based on transaction type, Account history, risk factors, and Applicable Law.

    c. Accuracy of Information

You are solely responsible for the accuracy of all information you provide in connection with any funds transfer request. Bank and Servicer have no obligation to verify that accuracy.

    d. Wire Transfers

If enabled for your Account, you may send or receive wire transfers by submitting an Eligible Instruction. Wire transfers are generally irrevocable once submitted. If you wish to attempt a recall, contact Hollis & Co immediately.

    e. International / FX Wires

If enabled for your Account, you may request wire transfers in currencies other than USD. Bank will apply an exchange rate set at its sole discretion and disclosed to you on the platform prior to finalizing the transaction.

    f. Real-Time Transfers

If enabled for your Account, you may initiate real-time transfers through applicable real-time payment networks 24/7/365. Such transfers are generally irrevocable once accepted.

    g. Your Liability for Unauthorized Transfers

You agree to be bound by all Eligible Instructions accepted by Bank in good faith. The consumer-specific rules of Regulation E (Electronic Fund Transfer Act) do not apply to your Account. Contact Hollis & Co immediately if you believe your Login Credentials have been compromised or unauthorized transactions have occurred.

    Section 11

    FDIC Insurance

Your deposits at Column N.A. are eligible for FDIC insurance coverage up to $250,000 per depositor, per insured bank, per ownership category.

Hollis & Co may offer expanded FDIC coverage through a deposit sweep program, pursuant to which Bank may, acting as your agent and custodian, place and withdraw funds from demand deposit accounts at one or more network depository institutions. Please review the applicable Sweep Agreement for details and coverage limits.

    Section 12

    Miscellaneous Provisions

    a. Notice

Unless otherwise provided in this Agreement, notices required under this Agreement must be submitted to Hollis & Co through the platform or at legal@hollisand.co. Bank is not required to act upon any communication unless it is submitted through Servicer.

    b. Prohibited and Illegal Transactions

You may not use your Account for any illegal or unlawful transaction, and Bank may decline to authorize any transaction it believes may violate Applicable Law. You certify that you do not engage in, and during the term of this Agreement will not engage in, any unlawful internet gambling business.

    c. OFAC Screening and International Wire Restrictions

International wire transfers are subject to applicable laws and regulations, including screening by the U.S. Office of Foreign Assets Control ("OFAC"). Transfers to or from OFAC-sanctioned countries, entities, or individuals are prohibited. Bank and Servicer screen all wire counterparties against OFAC and other applicable sanctions lists prior to processing. Hollis & Co independently conducts OFAC screening on all customers and counterparties as part of its compliance program.

Transfers to certain countries may be restricted or entirely prohibited under U.S. law. If a transfer is blocked or rejected due to sanctions screening, Bank will notify you to the extent permitted by law. You are responsible for ensuring that all counterparties and transactions comply with applicable sanctions laws prior to initiating any transfer.

Some jurisdictions require a purpose code when sending international wires (notably India, China, and certain other countries). You are responsible for providing accurate purpose codes where required.

    d. Holds

Bank may place administrative holds on funds in your Account if it reasonably believes the funds may be subject to dispute, fraud, or other legal or compliance concern.

    e. Right of Set-Off

If your Account balance becomes and remains negative or you owe Bank any amounts under this Agreement or any other arrangement, Bank may set off against any amounts it owes you in any account you maintain with Bank.

    f. Account Inactivity and Escheatment

An Account inactive for eighteen (18) months may be considered dormant. We comply with applicable state escheatment laws, which require that unclaimed property be remitted to the applicable state after the relevant dormancy period.

    g. Confidentiality

Bank may disclose information about your Account to Servicer and to others:

    • As necessary to complete transfers or verify account existence
    • To comply with government agency, court order, or other legal requirement
    • With your written permission
    • To Bank's and Servicer's employees, auditors, affiliates, service providers, or attorneys as needed
    • As otherwise necessary to fulfill obligations under this Agreement

    h. Account Termination and Amendment

Bank may amend or change the terms of this Agreement at any time by posting the updated Agreement to the Hollis & Co platform or by alternative notification. If your Account is canceled, closed, or terminated for any reason, Bank will return any remaining balance in accordance with Applicable Law, after satisfying any obligations you may have to Bank.

    i. Governing Law

This Agreement shall be governed by federal law and, to the extent not superseded by federal law, the laws of the State of Delaware.

    j. Severability

If any provision of this Agreement is determined to be invalid or unenforceable under any applicable law or regulation, the validity of the remaining provisions shall not be impaired.

    k. Survival

All provisions of this Agreement shall survive termination of this Agreement or closure of your Account.

    Section 13

    Limitation of Liability

Except as required by Applicable Law, Bank shall have no liability to you if Bank is unable to complete a transaction for any reason beyond its reasonable control, including fire, flood, earthquake, acts of God, equipment failure, acts of government, labor disputes, terrorism, or civil disturbance.

In all other cases, Bank's liability shall be limited to the amount of any direct loss you have suffered. Bank shall have no liability for any lost profits or revenues, or for any punitive, indirect, incidental, special, consequential, or exemplary damages, even if advised of the possibility of such damages.

    Section 14

    Indemnification

You agree to defend, indemnify, and hold harmless Column N.A. and Hollis & Co., Inc., and their respective subsidiaries, affiliates, officers, agents, partners, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of or related to:

    • Your use of your Account
    • Your violation of this Agreement
    • Your violation of any rights of another party
    • Your violation of Applicable Law

    Section 15

    Dispute Resolution

YOU AGREE THAT BY ENTERING INTO THIS AGREEMENT, YOU AND BANK ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION WITH RESPECT TO ANY DISPUTES ARISING UNDER THIS AGREEMENT.

Except for disputes that qualify for small claims court, all disputes arising out of or related to this Agreement or any aspect of the relationship between you and Bank — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — will be resolved through final and binding arbitration before a neutral arbitrator rather than in a court.

The arbitration will be administered by JAMS under its Comprehensive Arbitration Rules and Procedures, available at JAMS Comprehensive Arbitration Rules. Any in-person appearances will be held at a location reasonably convenient to both parties. If the parties cannot agree on a location, JAMS or the arbitrator shall make that determination.

This Dispute Resolution provision will survive termination of your Account, this Agreement, and any bankruptcy by you or Bank.

IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT ACTIVATE OR USE THE ACCOUNT.
